Key Takeaways

  • The only valuation Anthropic has put its name to is $965 billion post-money, from the $65 billion Series H round announced May 28, 2026. The IPO valuation is a different number that the price range in an amended S-1 will imply.
  • Anthropic's valuation rose from $61.5 billion (Series E, March 2025) to $183 billion, $380 billion and $965 billion in a little over a year, every step announced by the company.
  • The S-1 filed October 26, 2026 shows how the shares are built: a 10-for-1 split on September 17, 2026, a Public Benefit Fund stake of 846,840,960 shares described as 5% of fully diluted shares at June 30, 2026 (which implies about 16.9 billion), and $141.1 billion of capital raised since founding.
  • At the Series H valuation that share count works out to roughly $57 per share; that is arithmetic on disclosed figures, not an IPO price.
  • Ownership and control are split: public buyers get Class A shares with one vote each, Amazon's converted notes become nonvoting Class N shares, a single founders' share carries 50.1% of the vote, and the Long-Term Benefit Trust elects a board majority.
  • Amazon's own 10-Q carried its Anthropic notes and preferred stock at about $190 billion combined on June 30, 2026; by our count of the 10-Q's lines, Amazon's cash in was $18 billion ($8.0 billion of notes plus $5.0 billion each into the Series G and Series H).

$965 billion is the number on every Anthropic headline, and it is the one figure in this story the company actually published.

Almost everything else people quote, a per-share price, a market cap, an ownership percentage, used to be an estimate dressed as a fact.

Since October 26, 2026, the S-1 has turned most of those estimates into either disclosures or arithmetic, and this guide goes through which is which.

What Is Anthropic Worth Today?

Anthropic was worth $965 billion post-money when it closed its Series H round, announced on May 28, 2026, and that remains the last valuation the company has stated.

The round raised $65 billion, led by Altimeter, Dragoneer, Greenoaks and Sequoia, with $15 billion of previously committed hyperscaler money included.

The S-1 filed on October 26, 2026 restates the capital raised but not a new valuation; the IPO valuation will be implied when an amended filing sets the price range.

The Series H announcement adds the context the company chose to give at the time: run-rate revenue above $47 billion earlier that month, and co-leads including Capital Group, Coatue, D1, GIC, ICONIQ and XN.

What the S-1 adds is the filed backdrop to that number: revenue of $16.3 billion for the first half of 2026, a 10% adjusted operating margin, $131.7 billion of cash and short-term investments on June 30, 2026, and $141.1 billion of capital raised in total.

Whether $965 billion was cheap or expensive is now a question you can test against filed numbers.

How Did Anthropic's Valuation Climb Round by Round?

Five announced rounds took Anthropic from an undisclosed valuation in 2023 to $965 billion in 2026, and each of the last three at least doubled the valuation before it: three times, then two, then two and a half.

The table lists only rounds where Anthropic itself published the amount; the Amazon and Google convertible investments sit outside it.

The step from $61.5 billion to $965 billion took a little over a year.

Over the same stretch, the company's own run-rate figures went from about $1 billion to more than $47 billion, which is the argument the investors were paying for.

The S-1's preferred-stock series run from A to H-4, all of which convert into common stock at the IPO.

How Much Is Anthropic Stock Per Share?

There is no official per-share price, and the S-1 does not give one.

What it does give makes an estimate possible: Anthropic completed a 10-for-1 forward split of its Class A and Class N shares on September 17, 2026, and it placed 846,840,960 Class N shares, described as 5% of fully diluted shares at June 30, 2026, in its Public Benefit Fund.

That implies about 16.9 billion fully diluted shares.

Divide $965 billion by that count and you get roughly $57 per share.

That figure is arithmetic, not a price.

It uses a post-money valuation from May and a share count from June, and the IPO will add new shares and set its own price.

The split also makes older quotes misleading.

Any per-share figure dated before September 17, 2026 is ten times the equivalent price today.

Why Employee Shares Are Worth Less Than the Headline Price

Preferred shares sold to investors carry rights common shares do not, including liquidation preferences, so the common stock employees hold has historically been valued below the preferred price.

At the IPO all preferred converts to common and the distinction ends.

Until then, a quote for "Anthropic shares" from a secondary marketplace may be a common-share price, a preferred-share price, or neither; Anthropic's investor notice says transfers it has not approved are void in any case.

Why a Post-Money Valuation Isn't a Market Cap

A post-money valuation is the price a small group of investors agreed to pay for new preferred shares on one date; a market cap is the price the public pays for common shares every second the market is open, times all the shares outstanding.

The first is negotiated, the second is traded.

Anthropic has the first and will have the second only after ANT lists.

The two can diverge in either direction.

Preferred shares come with protections public common stock does not have, which argues for a lower public price; scarcity and demand from investors who could not get into the private rounds argue for a higher one.

Prediction markets in October 2026 were betting on a first-day market value well above $965 billion, which is an opinion, not a measurement.

Who Owns Anthropic Stock?

Before the IPO, Anthropic is owned by its seven co-founders, its employees, Amazon, Google and the investors in its preferred rounds.

Amazon is the holder whose position can be read in a public filing: its 10-Q for the June 2026 quarter reports $8.0 billion of convertible notes bought between 2023 and 2025, carried at about $97.9 billion, and nonvoting preferred stock carried at about $92.5 billion on June 30, 2026.

Amazon's two lines add up to about $190 billion against $18 billion of cash in by our count of the 10-Q's lines ($8.0 billion of notes plus $5.0 billion each into the Series G and Series H), which is the clearest public measure of what the valuation climb has meant for one investor.

Who Controls Anthropic After the IPO?

Not whoever owns the most shares.

The post-IPO charter, filed as Exhibit 3.3, creates five classes.

Class A, sold to the public, has one vote per share.

Class N, which Amazon's notes become, has no vote.

One Class F share, held by the co-founders' company, "will be entitled to an aggregate number of votes that equals 50.1% of the total voting power."

One Class T share, held by the Long-Term Benefit Trust, elects the smallest number of directors that forms a board majority.

What the Long-Term Benefit Trust Actually Controls

The Trust is, in the filing's words, "an independent body of five financially disinterested voting trustees" with expertise in AI safety, national security, public policy and social enterprise.

It elects and removes the Class T directors, who together are a majority of the board, and has no day-to-day management role and no economic stake.

Its share has no fixed sunset; redeeming it requires 80% of the board together with the Trust, or a stockholder vote at a high threshold.

Its newest trustee, the Harvard physicist Christopher Stubbs, joined on October 21, 2026, alongside Neil Buddy Shah, Richard Fontaine and Ben Bernanke.

What the Founders' Class F Share Controls

Class F votes on everything put to stockholders generally, with 50.1% of the total.

It has no economic rights.

The charter gives it a sunset: the share is redeemed 450 days after Anthropic Founders, LLC has had fewer than three qualifying members for 90 consecutive days, so the founders' control lasts as long as at least three of them remain qualifying members of that company, not as long as any one of them does.

The S-1's own summary risk factors list this "novel capital structure" and the concentration of voting power in the Trust and the founders as risks for Class A buyers.

The full filing is walked through in where Anthropic's S-1 is and what's inside it.

What Anthropic IPO Valuation Should You Expect?

None has been set, and the filing gives no hint of one.

The number will appear when an amended S-1 adds a price range, which multiplied by the shares outstanding gives the implied valuation, and the final price is set the evening before trading.

The $1 billion in the S-1's fee table is a placeholder for calculating the registration fee, not the deal size.

What a Recent Mega-Listing Shows About Valuation Marks

SpaceX is the closest 2026 precedent.

It priced 555,555,555 Class A shares at $135.00 on June 11, 2026, sold 638,888,888 including the underwriters' full option for about $85.7 billion net, and closed its first day 19% above the offer price.

The lesson is about sequence, not level: the price range came in an amendment days before pricing, and the first public valuation came only when the shares traded.

Anthropic Pre-IPO Valuation: What Traders Are Actually Pricing

Pre-IPO perpetual contracts quote what traders expect Anthropic to be worth, not a share price.

The ANTHROPICUSDT contract on MEXC tracks a composite pre-listing index of that expected valuation, settles in USDT and conveys no shares, votes or dividends.

When ANT lists it converts into a standard stock futures contract, and its reference switches from the index to the live share price.

How that conversion works is in the guide to what changes when a pre-IPO contract becomes a standard contract.

Frequently Asked Questions

How much is Anthropic worth?

$965 billion post-money, as of the Series H round announced May 28, 2026, the company's last stated valuation.

Who owns Anthropic?

Its co-founders, employees, Amazon, Google and its preferred-round investors; after the IPO, public Class A holders join them.

Who is Anthropic's largest shareholder?

The S-1's principal-stockholders table names the holders above 5%; Amazon's position, about $190 billion in notes and preferred stock at June 30, 2026 by its own filing, is the largest publicly quantified one.

How much of Anthropic does Amazon own?

Amazon reports the value of its notes and preferred stock but not a percentage, and its notes convert to nonvoting stock subject to an ownership cap; the percentage is in the S-1's ownership table.

Does Google own part of Anthropic?

Yes, through preferred stock; Alphabet's filings do not state the percentage.

What is Anthropic's market cap?

It has none until ANT trades; the $965 billion figure is a private post-money valuation.

How much is Anthropic stock per share?

There is no official price; at the Series H valuation and the S-1's share count after the 10-for-1 split, the arithmetic gives roughly $57.

What will Anthropic's ticker symbol be?

ANT, on the Nasdaq Global Select Market.

Can I buy Anthropic stock before the IPO?

No; indirect exposure exists through Amazon or through pre-IPO futures, which convey no shares.

Conclusion

$965 billion is real, dated and the company's own, and the S-1 now shows what sits under it: the share count, the money raised, and a control structure in which neither the largest publicly quantified investor nor the public holds the vote.

The IPO valuation is the one number still missing, and it will arrive in an amendment before it arrives on a screen.

Read the ownership table and the charter before the price range, because in this company they decide more than the price does.

For what a buyer can do before Day One, start with how to buy Anthropic stock.
